• Transmit any unsolicited or unauthorized advertising or promotional material

SMS & Voice Communication Services

By providing your phone number and opting in to receive SMS messages or voice calls from Buzzfinity Group, you agree to the following additional terms governing our use of Twilio, Inc. as our communications service provider:

SMS Terms

• You authorize Buzzfinity Group to send you transactional and/or marketing SMS messages using automated systems via Twilio
• Message and data rates may apply depending on your mobile carrier plan
• You may opt out at any time by replying STOP to any SMS message we send
• For help, reply HELP or contact [email protected]
• Marketing SMS messages will only be sent with your express prior consent
• Consent to receive SMS is not a condition of purchasing any goods or services

Voice Call Terms

• You authorize Buzzfinity Group to initiate automated voice calls to your provided phone number for account verification, notifications, or other service-related purposes
• Certain calls may be recorded for quality assurance purposes; you will be notified at the start of any recorded call
• You may opt out of non-essential voice calls by contacting us at [email protected]
• Our voice services are subject to Twilio's Terms of Service available at www.twilio.com/legal/tos

Compliance

All SMS and voice communications are conducted in compliance with applicable laws including the Telephone Consumer Protection Act (TCPA) in the United States. We do not send unsolicited commercial messages to numbers registered on the National Do Not Call Registry without prior express consent.

Limitation of Liability

This limitation applies regardless of the legal theory under which such damages are sought, including negligence, contract, tort, strict liability, or otherwise, even if Buzzfinity Group has been advised of the possibility of such damages.

In no event shall Buzzfinity Group's total cumulative liability to you exceed the greater of (i) the amount you paid to us in the twelve (12) months prior to the event giving rise to the liability, or (ii) one hundred United States dollars (USD $100).

Indemnification

You agree to defend, indemnify, and hold harmless Buzzfinity Group Inc. and its subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Site or services
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit, post, or transmit through the Site

Changes to These Terms

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration in Albany, New York, under the rules of the American Arbitration Association (AAA). Judgment on any arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
